Provider and subject

The online service "wer-ist-der-beste.com" (the "Service") publishes rankings of companies, products and services. Companies on ranks 1 to 10 of a published ranking can book the Service's seal as a paid service.

The Service is operated by Delantoro LLC, 3833 Powerline Rd, Suite 201, Fort Lauderdale, FL 33309, United States, email: lars@hero-pages.com (the "Operator").

1. Scope

1.1 These terms apply to all contracts between the Operator and businesses (the "Customer") for the seal. Being named in a ranking does not require a contract.

1.2 Deviating or additional terms of the Customer apply only if the Operator has expressly confirmed them in writing.

2. Customers

2.1 The seal is offered exclusively to businesses within the meaning of section 14 of the German Civil Code acting in the course of their trade or profession. Consumers cannot enter into contracts under these terms.

2.2 By accepting these terms when booking, the Customer confirms that it acts as a business and is authorised to represent the company named in the ranking. The Operator may ask for proof.

3. The Operator's services

3.1 The Operator provides the seal for the Customer's place in the booked ranking as a file and as code for the website, and grants the Customer the simple right to use it for the named company for the term of the contract. The Operator usually provides the seal within one working day of payment.

3.2 The seal applies per company to one ranking. Its level follows the published place and changes with it.

3.3 The seal has no influence on the order of a ranking. The Customer has no claim to a particular place or to remaining in a ranking.

3.4 If the email address of the booking does not match the company's website, the Operator checks the Customer's authorisation before providing the seal. If it cannot be established, the Operator may reject the booking and then refunds all fees paid.

3.5 The Operator endeavours to keep the Service available without interruption; 100% availability is not technically achievable. The Operator owes no particular economic result, in particular no particular reach and no particular placement in search engines.

4. Use of the seal

4.1 The Customer may use the seal only unchanged and only for the company and the ranking it was booked for.

4.2 After the contract ends, the Customer removes the seal from its website and its other media.

5. Prices and payment

5.1 The prices stated on the "For businesses" page when the contract is concluded apply. All prices are net prices. The Operator invoices its services without VAT; the Customer owes the tax under the reverse-charge procedure. If the Customer has a VAT identification number, it states it when booking.

5.2 The fee is charged monthly or yearly in advance, depending on the chosen payment interval, and collected through the payment provider offered in the ordering process. The Operator provides the invoice by email.

5.3 If a payment fails, the Operator may suspend the seal after prior notice until the payment has been settled.

5.4 The Customer may set off only claims that are legally established or undisputed by the Operator.

6. Term and cancellation

6.1 The contract is concluded when the ordering process is completed. There is no minimum term.

6.2 With monthly payment the contract renews by one month, with yearly payment by twelve months, unless the Customer cancels before the end of the paid period. A cancellation takes effect at the end of the paid period.

6.3 Cancellation is possible in text form, for example by email to lars@hero-pages.com, or in the customer area.

6.4 If, after a publication, the company is no longer on ranks 1 to 10 of the ranking, or the ranking is discontinued, the Operator may end the contract at the end of the paid period. It informs the Customer by email. No pro-rata refund is made.

6.5 Otherwise the Operator may terminate contracts with four weeks' notice and refunds fees paid in advance for the time after the contract ends on a pro-rata basis. The right of both parties to terminate for good cause remains unaffected.

7. Liability

7.1 The Operator is liable without limitation for damage from injury to life, body or health, for damage caused intentionally or by gross negligence, for damage from the absence of an expressly guaranteed quality, and under the German Product Liability Act.

7.2 In the event of a slightly negligent breach of essential contractual obligations, the Operator is liable only for typical, foreseeable damage, up to the amount of the fees the Customer paid in the twelve months before the event causing the damage. Essential contractual obligations are those whose fulfilment makes proper performance of the contract possible in the first place and on which the Customer may regularly rely.

7.3 Otherwise the Operator's liability, including for its agents, is excluded, whatever the legal basis.

8. Changes to these terms

8.1 The Operator may change these terms. It offers changes to the Customer in text form at least one month before they are proposed to take effect. The Customer's consent is deemed given if it does not reject the changes before that date. Changes to prices or the essential scope of running contracts take effect only with the Customer's express consent.

8.2 If the Customer does not agree, it may cancel the contract as of that date at no extra cost; the Operator refunds months already paid and not used on a pro-rata basis. The notice of change points out the right to reject, the deadline and the option to cancel.

9. Final provisions

9.1 Contracts under these terms and all disputes arising from them are governed exclusively by the law of the State of Delaware, United States of America, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

9.2 The exclusive place of jurisdiction for all disputes arising from or in connection with the contract is the competent state and federal courts in the State of Delaware, USA. The Customer submits to the personal jurisdiction of these courts.

9.3 Should any provision of these terms be wholly or partly invalid, the validity of the remaining provisions remains unaffected. An invalid provision is replaced by the provision that comes economically closest to it.

9.4 The Customer may transfer rights and obligations under these terms to third parties only with the Operator's prior written consent. The Operator is entitled to transfer its rights and obligations, in whole or in part, to an affiliated company or a legal successor.
